GOVERNANCE COMMITTEE - INCLUDING FOUR SUB-COMMITTEES
Overall Purpose and Structure
The committee composition will reflect a continuity of leadership. This includes a commitment to, as well as experience with, the general oversight and support of the policies and procedures of the Rotary District and clubs.
Committee members possess a background in governance processes through experience in not-for-profit board leadership roles.
The Committee is composed of 6-10 individuals including three Past Governors still residing in District 7090, the Governor, the Executive Secretary, and 2-5 Rotarians knowledgeable in not-for-profit operations appointed by the Governor from each of the Canadian and the U.S. portions of the District.
The appointment is a three-year term, subject to an annual review. At this time we are recruiting for members to join this committee.

Responsibilities
- Review the District’s policies/operations to ensure the District complies with all legal and fiduciary duties and responsibilities. The Governance Committee Chair provides a report for District Council meetings.
- Take appropriate action to maintain compliance with the established code of policies of Rotary International and The Rotary Foundation.
- Review issues related to the governance of Rotary International, including governance procedures utilized and make recommendations to improve, when warranted.
- Members can also serve on one of the sub-committees. These four groups report updates or recommendations within 10 days following a meeting by filing a report to the Governance Committee Chair.
- All Rotarians are welcome to attend meetings of this committee. Those with experience (or want to grow their experience) in organizational development, insurance, legal, administration, operations, strategy, etc. are welcome.
